FILMING, PHOTOGRAPHY, AND AUDIO RECORDING NOTICE & RELEASE

ENTRY INTO THIS AREA CONSTITUTES CONSENT

By entering any area, event, venue, premises, check-in area, ticketing area, queue, access point, or other location where this Notice is posted or otherwise made available, you acknowledge that photography, video recording, and audio recording may be taking place and that you agree to the terms of this Notice and Release.

1. Grant of Rights

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by your entry into the recorded area, you hereby grant to Matsounds Photography, LLC, a Florida company, together with its owners, officers, employees, contractors, affiliates, representatives, agents, successors, assigns, licensees, and designees (collectively, the “Company”), the unrestricted, irrevocable, perpetual, worldwide, transferable, sublicensable, royalty-free right and license to photograph, record, film, livestream, capture, reproduce, publish, display, distribute, transmit, broadcast, edit, modify, adapt, create derivative works from, exploit, and otherwise use your image, likeness, portrait, appearance, voice, statements, actions, mannerisms, and name (if obtained) in whole or in part, in any and all media or formats now known or later developed, for any lawful purpose.

These lawful purposes include, without limitation, advertising, promotion, publicity, social media, websites, digital marketing, print marketing, portfolio use, editorial use, internal business use, archival use, public display, broadcast, streaming, and other commercial or non-commercial uses.

2. No Compensation; No Approval Rights

You understand, acknowledge, and agree that you are not entitled to and will not receive any payment, compensation, royalties, credit, fees, reimbursement, or other consideration of any kind now or in the future in connection with the capture or use of any recording or content covered by this Notice and Release.

You further waive any right to inspect, review, approve, object to, or require deletion, removal, recall, takedown, or modification of any photograph, video, audio recording, recording session, edit, publication, display, advertisement, promotion, campaign, caption, copy, layout, or other finished product or use incorporating such content.

3. Editing, Context, and Creative Control

You acknowledge and agree that the Company shall have sole and absolute discretion over the selection, editing, cropping, dubbing, alteration, juxtaposition, retouching, timing, sequencing, distribution, publication, and context of use of any recorded content. This includes the right to combine your likeness, voice, or appearance with other images, video, audio, text, graphics, music, effects, branding, and materials.

You understand that recordings may be edited or used in ways that you may not consider flattering, favorable, or preferable, and you waive any claim arising out of or related to such lawful editing or use.

4. Release and Waiver of Claims

To the fullest extent permitted by Florida law, you knowingly, voluntarily, irrevocably, and unconditionally waive, release, discharge, and hold harmless the Company from and against any and all claims, demands, actions, suits, liabilities, damages, judgments, settlements, costs, and expenses, whether known or unknown, suspected or unsuspected, fixed or contingent, arising out of or related in any way to the capture, creation, editing, publication, display, distribution, transmission, advertising, promotion, or other lawful use of any recording or content covered by this Notice and Release.

This waiver and release includes, without limitation, claims for or relating to invasion of privacy, intrusion, appropriation, right of publicity, misappropriation of likeness, defamation, libel, slander, false light, emotional distress, negligence, or any similar claim under statutory, common law, or equitable theories.

5. Florida Law; Venue; Individual Claims Only

This Notice and Release shall be governed exclusively by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

To the fullest extent permitted by Florida law, any dispute, claim, or controversy arising out of or relating in any way to this Notice and Release or the use of any recordings shall be brought solely in your individual capacity and not as a plaintiff or class member in any purported class, collective, coordinated, consolidated, or representative action or proceeding.

Any such dispute, claim, or proceeding shall be filed exclusively in a state court of competent jurisdiction located in Florida, or, if federal jurisdiction properly exists, in a federal court located in Florida, and you expressly consent to the personal jurisdiction and venue of such courts.

6. Minors

If you are the parent or legal guardian of a minor and you bring, accompany, permit, or allow that minor to enter any area where this Notice is posted or made available, you represent and warrant that you have full legal authority to act on the minor’s behalf and you agree, on behalf of both yourself and the minor, to all terms of this Notice and Release.

You further grant the Company the same rights regarding the minor’s image, likeness, voice, appearance, and related attributes as set forth above, and you waive and release claims on behalf of yourself and, to the fullest extent permitted by law, on behalf of the minor.

7. Condition of Entry

Your entry into the applicable area is voluntary. If you do not agree to all terms of this Notice and Release, do not enter and do not remain in any area where recording may occur.

The Company reserves the right to deny admission or remove any person from the premises or event area at its discretion.

8. Severability; Enforceability

If any provision of this Notice and Release is determined to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law. Any provision found unenforceable shall be enforced to the maximum extent allowed so as to best effectuate the original intent of the provision.

9. Entire Notice and Release

This Notice and Release constitutes the full and complete understanding between you and the Company regarding the subject matter described herein as it applies to entry into a recorded area and supersedes any inconsistent prior oral statements relating solely to that subject matter.
